Terms & Conditions

What

Fast AF, Inc., Fast AU Pty Ltd, and Fast AF NZ Limited (collectively, “Fast”) are now accepting submissions by charitable organizations to participate in the Fast Donate program as described below (“Fast Donate”).  The below terms and conditions (“Terms”) govern this call for submissions (“RFP”).

Who / How

Duly registered not-for-profit and tax-exempt organizations (each, a “Charity”) resident in: (a) the United States of America or the District of Columbia; (b) Australia; (c) New Zealand; (d) the United Kingdom; or (e) Canada are eligible to participate in this RFP.  Charities whose boards engage any Fast employee or contractor (or their immediate family members) are ineligible.

An authorized representative of Charity may complete and transmit one application form, available online at URL (“Application”). Unless otherwise indicated by Fast, Applications in response to this RFP will only be accepted between July 19, 2021 and 11:59 pm Pacific Daylight Time (UTC-7) on August 31, 2021 (the “Application Period”).

The following steps are required for Charity to participate in this RFP and Fast Donate:

(x) Charity must sign up for a free account with Fast at www.Fast.co in order to to accept donations made by members of the public under Fast Donate. Charity agrees that any information it provides to Fast in connection with the Application (including without limitation name and address of the Charity, or any personal information of any individual Charity representative including without limitation email address, date of birth, or phone number) may be used by Fast in accordance with Fast’s Terms of Use and Privacy Policy, and may be shared with Fast’s affiliated business entities or other third parties. All information submitted to Fast as part of an Application or this RFP becomes the property of Fast.

Unless prohibited by applicable law, submitting an Application also constitutes permission for Fast to use Charity’s name and address (city and state), as well as any of Charity’s trademarks, logos, service marks, trade names, and/or legal notices pertaining thereto, in all media, in perpetuity, in any manner Fast deems appropriate for publicity purposes without any compensation to such Charity, or any review or approval rights, notifications, or permissions.

(y) Charity must be approved by Fast, in its sole discretion, to onboard as a seller on Fast’s platform.  Such approval process will require Charity to provide certain information, including without limitation corporate entity documents and/or proof of government tax exemption status.  Fast reserves the right to refuse onboarding of any Charity that is unable to meet such criteria. A Charity that cannot be onboarded will be unable to process donations using Fast’s services.

(z) Charity will be required to enter into a Fast Donate Program Agreement and Release (“Program Agreement”) in order to participate in Fast Donate. Charity must also agree to be bound by: (i) Fast’s Acceptable Use Policy; and (ii) Fast’s Seller Policy (which requires consent to Stripe’s Services Agreement (available at https://stripe.com/ssa or https://stripe.com/au/ssa if Seller is a resident of Australia, or https://stripe.com/nz/ssa if Seller is a resident of New Zealand); the Stripe Connected Account Agreement available at https://stripe.com/connect-account/legal; and Stripe’s global privacy policy available at https://stripe.com/privacy).

Processing

During a Charity's participation in Fast Donate, the payment processing fees that would normally be incurred by each Charity will instead be paid by Fast (such fees, the “Fast Contribution(s)”), up to a maximum Fast Contribution to be set  by Fast per Charity (e.g., USD 5 million). Donations above the Fast Contribution maximum will incur processing fees as disclosed in the Program Agreement. Fast reserves the right to change the Fast Contribution amounts and processing fees at any time.

Fast Contributions are not transferable between Charities. If any federal, state, or local taxes are applicable to the value of the Fast Contribution, Charity shall be solely responsible for such taxes. Fast’s selected Charities will be notified via the email address used to sign up for a Fast account and must respond to the notification email within five (5) business days in order for Fast to perform any steps necessary to integrate Fast Contributions. Failure to timely respond may result in loss of eligibility to participate in Fast Donate.  All decisions or judgments by Fast are in its sole and absolute discretion, and are final, non-appealable, and binding with respect to all matters related to Fast Donate, Fast Contributions, or this RFP.

General

Participation in this RFP is at Charity’s own risk and Fast is not liable for: (1) failed, returned, or misdirected notifications based on inaccurate information provided by Charity in connection with an Application or other submission; (2) entries and responses to winner notifications which are lost, late, incomplete, illegible, unintelligible, postage-due, misdirected, damaged, or otherwise not received by the intended recipient in whole or in part or for computer or technical error of any kind; (3) any electronic miscommunications or failures, technical hardware, or software failures of any kind, lost or unavailable network connections, or failed incomplete, garbled, or delayed computer transmissions which may limit an entrant’s ability to submit an Application; (4) any technical malfunctions of the telephone network, computer on-line system, computer equipment, software, program malfunctions, or other failures, delayed computer transactions or network connections that are human, mechanical, or technical in nature, or any combination thereof, including any injury or damage to entrant’s or any other entity’s or person’s computer or mobile device related to or resulting from signing up for a Fast account, or otherwise in connection with this RFP; or (5) any warranty with respect to this RFP or any component thereof.

RFP, FAST DONATE, THE PROGRAM AGREEMENT, AND ALL RELATED INFORMATION, MATERIALS, SERVICES, AND TECHNOLOGY PROVIDED OR MADE AVAILABLE BY OR ON BEHALF OF FAST HEREUNDER ARE PROVIDED AND MADE AVAILABLE ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.  EXCEPT AS EXPRESSLY STATED IN ANY TERMS ENTERED INTO WITH FAST BY CHARITY, FAST MAKES NO REPRESENTATION OR WARRANTY THAT FAST DONATE OR THE FAST WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, AND FAST WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS, AND HEREBY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ALL WARRANTIES ARISING OUT OF USAGE OR TRADE, COURSE OF DEALING, AND COURSE OF PERFORMANCE.

By submitting an Application, Charity releases and holds harmless Fast, its subsidiaries, and affiliates, directors, officers, employees, contractors, attorneys, agents, vendors, and representatives from any damage, injury, death, loss, claim, action, demand, or other liability that exists or arises (“Claim(s)”) from acceptance, possession, and/or use of any Fast Donate or participation in this RFP, or from any misuse or malfunction of Fast Donate, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter.

This RFP and Fast Donate are not sponsored by or affiliated with Stripe, Inc. or any of its affiliates. Fast reserves the right to cancel, suspend, or terminate the RFP and/or Fast Donate and/or Fast Contributions, or to modify these Terms in any way, at any time, for any reason, with or without prior notice. In the event of cancelation or suspension, Fast shall promptly post a notice on Fast’s website to such effect. Any entrant or Charity may be disqualified from further participation for failure to comply with each provision of these Terms, as determined in the sole discretion of the Fast. Any person or Charity attempting to defraud or in any way tamper with this RFP or Fast Donate may be prosecuted to the full extent of the law.

The RFP and Fast Donate shall be governed by the laws of the State of California, USA, without regard to conflicts of laws provisions. By participating in the RFP, entrant agrees that any dispute or litigation arising from or relating to RFP shall be resolved solely in the state or federal courts of San Francisco, CA, USA, and consents to the jurisdiction of and venue in such courts. Notwithstanding the foregoing, unless agreed to otherwise in writing by Fast, the Fast Contribution to any Charity will be disbursed in: AUD for Australian Charities; NZD for New Zealand Charities; and USD for any other Charities.  If any provision of these Terms is held to be illegal or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms otherwise remain in full force and effect and enforceable.
